CONSTITUTION OF THE RAMBLERS
ARTICLE ONE: NAME
The name of the organization shall be “The Ramblers.” Its motto shall be: “Ramblers, Men of Distinction.”
ARTICLE TWO: PURPOSE
The purpose of the Ramblers (alternatively as the context requires the “Club” or the Membership”) shall be to promote fellowship and goodwill among the Membership and their families.
ARTICLE THREE: MEMBERSHIP
Membership shall be limited to 32 persons (exclusive of senior members). Twelve members at any meeting, in person or by proxy, or at any one place who desire to hold a meeting shall be considered a quorum, with the capacity to bind and obligate the Membership. Any Member may present applications for membership at any meeting. Every nomination made shall be considered upon second reading at the meeting where the nominees sponsor determines to circulate the nominee’s curriculum vitae, and present same to the Membership and said nomination shall be voted upon for membership at the next regular meeting of the Club.
Voting shall be by secret ballot and all active members present shall be entitled to vote, by secret ballot. No person shall be admitted to membership who has received les than 2/3rds of the yes or affirmative votes of those present and voting.
There shall be a special class of Membership, senior members. Any member may, upon reaching the age of 70 years and after 10 years of membership in the Club, if he so desires, may elect senior membership status. A senior member shall be entitled to attend all meetings and social events of the Club, may volunteer but shall not be obligated to host the Club at its regular meetings and shall not be liable to pay annual dues and assessments to the Club, but shall pay an annual fee as shall be determined by the Membership. A senior member shall have a voice in all Club matters and shall not be entitled to vote. Such member shall not be entitled to invite guests to a social function of the Club except upon payment of such fees and costs, as the Membership shall determine.
ARTICLE FOUR: OFFICERS
The officers of the Club shall be as follows with the responsibilities and duties generally assigned to such officers as provided in the Pennsylvania Law governing non-profit corporations:
President
Vice-President
Secretary
Treasurer
The Club may have such other officers with such duties as shall be prescribed from time to time by the President including, assistant secretary, assistant treasurer, historian and parliamentarian and sergeant-at-arms.
ARTICLE FIVE: DUTIES OF OFFICERS
The President shall preside over all meetings of the Membership. He shall execute the Constitution of the Club, and appoint all committees and their Chairs.
The Vice-President shall be vested with all of the powers and shall perform all of the duties of the President during the absences or incapacity of the President during the absence or incapacity of the President and shall perform such other duties as may from time to time assigned and determined by the Membership and the President.
The Secretary shall keep an accurate account of all Club correspondence and shall record the minutes of any regular and special meetings of the Club. The Secretary shall also provide minutes of the meetings of the Club to each member, shall inform the membership of the location and time of each regularly scheduled meeting of the Club and shall keep an accurate roster of the Membership, including home, business and e-mail addresses and names of spouses children, grandchildren and significant others, as applicable.
The Treasurer shall have charge of all Club funds, shall receive all dues and special assessments, if any, and shall disburse funds only upon order of the President or the Membership. The Treasurer shall report at each regular meeting of the Club, the receipts, disbursements and fund balance of the Club at each regular meeting of the Club.
ARTICLE SIX: MEETINGS
The regular meetings of the Club shall be held on the second Saturday of each month except July, August and September.
The host or hosts of each such meeting shall determine the place of the meeting.
It shall be the duty and responsibility of each Rambler to be host to the monthly meeting (S) as designated by the President or Chair of the Social Committee, if there is one, in accordance with the schedule submitted to the Membership on an annual basis by the President.
It shall be the duty of each Rambler to notify the host(s) in an appropriate time as to that members expected attendance at a regular meeting. Failure to comply with these minimal RSVP rules shall subject each such offending Member with such fines or penalties, as the President may deem appropriate from time to time.
All meetings of the Club (unless otherwise decided by the approval of all Members at as particular meeting) shall be conducted in accordance with the latest then version of Robert’s Rules of Order, or its then current successor.
ARTICLE SEVEN: DUES AND ASSESSMENTS
Each Member shall be assessed an initial joining fee as shall be determined but the Membership from time to time. This payment shall be due at the new Members first meeting as a Rambler and the notice of such amount shall be made to the new Member by the President upon notification of the new Member’s election to membership in the Ramblers.
Each Member shall be assessed dues annually. Such dues to be determined by the President, Treasurer and Chair of the Social Committee determining in good faith the expenses of the Club for next 24 months and the dues shall be established in such a manner as to divide the sum of the costs of the reasonable anticipated social and other activities of the Club by assuming that the number of Ramblers is 25. Dues if not paid on or before March of each year are delinquent and the non-payment of which shall cause the Member to be subject to such penalties as the President shall determine.
ARTICLE EIGHT: COMMITTEES
The President shall appoint the members of the following stranding committees together with such special committees as the President and the Membership shall deems necessary.
The social committee shall be responsible or determining the location and establishing the Memberships budget for any special social events of the Club, including the historic “Wines and Roses “ Event as well as any event in which Ramblers spouses are include.
The Membership Committee shall be responsible for working with the Member ship to [resent as nominee’s tio the Club, parsons, who fit the mission of the Club who are also Men of Distinction.
The Sunshine Committee is responsible to identify and communicate to Members of the Club those members who are in health challenged situations where expressions of the Club and the Membership would be of assistances to the family of the Rambler. To the extent that any deceased Rambler shall want our Club present the Social Committee shall arrange for participations of Club members in such events.
ARTICLE NINE: AMENDMENTS
Amendments to this Constitution, shall be offered at the sponsor’s peril, and be adopted by an affirmative vote of a majority if the Member’s present at any regular meting of the Membership.
